Karnchang Public Company Limited had informed on resolution of the Board of Directors No. 1/2005 to approve the Company to purchase of the ordinary shares and the increased capital ordinary shares of Bangkok Metro Public Company Limited (BMCL). Additionally, the Company therefore hereby inform referring the purchase of increased capital ordinary shares of BMCL are as follows. 1. As the resolution approved the Company to purchase of increased capital ordinary shares of Bangkok Metro Public Company Limited in the portion of the non-exercised existing shareholders added to be totaled for 26,463,754 shares in the share valued Baht 3.00 per share that totally amounted Baht 79,391,262.-, the Company thus agreed to exercise its right in order to purchase such increased capital of ordinary shares of BMCL for 26,078,252 shares in the share valued Baht 3.00 per share that totally amounted Baht 78,234,756.- 2. Formally, the Company has hold its shares in Bangkok Metro Public Company Limited for 1,697,234,164 shares amounted the percentage of 23.09 of the registered capital of BMCL whereupon already added the purchase of ordinary shares of BMCL from Natural Park Public Company Limited for 435,000,000 shares later including the increased capital of ordinary shares of BMCL for 26,078,252 shares. The Company thus shall hold shares in BMCL for 2,158,312,416 shares amounted the percentage of 29.36 of the registered capital of BMCL as shall be deemed that BMCL has been still the subsidiary company of the Company.
