(Subsidiary) Attn.: The President of the Stock Exchange of Thailand Reference is made to the fact that the Board of Directors Meeting No. 1/2006, of CH. Karnchang Public Company Limited, held on February 27, 2006, resolved to grant approval for the Company to sell certain portion of ordinary shares in Thai Tap Water Supply Co., Ltd., namely, 14,676,150 shares, to other persons and/or legal entities, as per the details in the resolution of the Board of Directors Meeting in which you have been obviously informed. The Company hereby informs that the Company agreed to sell such ordinary shares in Thai Tap Water Supply Co., Ltd. to Bangkok Expressway Public Company Limited (a company which is connected with the Company since Mr. Plew Trivisvavet holds the position of Chief Executive Officer of CH. Karnchang Public Company Limited and concurrently holds the position of Chairman of the Executive Board of Bangkok Expressway Public Company Limited, it is thus deemed as a connected transaction, whereby Mr. Plew Trivisvavet is authorized by the Company to monitor as the Company is a major shareholder of Bangkok Expressway Public Company Limited, therefore, such transaction is exempted in accordance with the Stock Exchange of Thailand Notification, Re: Disclosure of Information and Acts of Listed Companies Concerning Connected Transactions) in the amount of 1,676,150 shares, at the price of Baht 320 per share, totaling Baht 536,368,000. Once such transaction has been completed, the Company will hold 27,685,894 shares in Thai Tap Water Supply Co., Ltd., representing 85.18 percent of the registered capital (the Company formerly held 29,362,044 shares in Thai Tap Water Supply Co., Ltd., representing 90.34 percent of the registered capital).
