(Subsidiary) Attn.: The President of the Stock Exchange of Thailand Reference is made to the fact that the Board of Directors Meeting No. 1/2006, of CH. Karnchang Public Company Limited, held on February 27, 2006, resolved to grant approval for the Company to sell certain portion of ordinary shares in Thai Tap Water Supply Co., Ltd., namely, 14,676,150 shares, to other persons and/or legal entities, as per the details in the resolution of the Board of Directors Meeting which has previously been notified, and thereafter, the Company informed the Stock Exchange of Thailand that the Company agreed to sell 1,676,150 shares in Thai Tap Water Supply Co., Ltd. to Bangkok Expressway Public Company Limited. The Company hereby informs that on February 28, 2006, the Company has executed a Share Purchase Agreement and a Shareholder's Agreement with Mitsui Water Holdings (Thailand) Ltd., a subsidiary of Mitsui & Co., Ltd., for sale of 11,375,000 ordinary shares or representing 35 percent of all issued shares in Thai Tap Water Supply Co., Ltd. to Mitsui Water Holdings (Thailand) Limited (as additional business alliance, which would help strengthen the business expansion of Thai Tap Water Supply Co., Ltd. in the future), at the price of Baht 320 per share, totaling Baht 3,640,000,000. Once such transaction has been completed, the Company will hold 16,310,894 shares in Thai Tap Water Supply Co., Ltd., representing 50.18 percent of the registered capital (the Company formerly held 27,685,894 shares in Thai Tap Water Supply Co., Ltd., representing 85.18 percent of the registered capital). Moreover, the Company will have the remaining shares of Thai Tap Water Supply Co., Ltd. in the non-transaction sale for 1,625,000 shares. The Company hereby certifies that the execution of such transaction for sale of shares to Mitsui Water Holdings (Thailand) Ltd. is not a connected transaction under the Stock Exchange of Thailand Notification.
