(Translation) No. CK-06-0000-PO-L-0114 April 18, 2006 Re: Notification of Extension of Time for Sale of Shares in Thai Tap Water Supply Co., Ltd. (Subsidiary) Attn: President of the Stock Exchange of Thailand Reference is made to the fact that the Board of Directors Meeting No. 1/2006 of CH. Karnchang Public Company Limited, on February 27, 2006, resolved to grant approval for the Company to sell certain portion of ordinary shares in Thai Tap Water Supply Co., Ltd. ("TTW"), namely, 14,676,150 shares, to other persons and/or legal entities, whereby the Executive Board was authorized to consider approving the details, selling price and various conditions for further offering to such other persons and/or legal entities. Thereafter, the Company sold 1,676,150 shares in TTW to Bangkok Expressway Public Company Limited and 11,375,000 shares to Mitsui Water Holdings (Thailand) Limited. In this regard, the Company would still have the remaining 1,625,000 shares in TTW which have not yet been sold. The Information Memorandum specified that the Share Purchase Agreement would be executed within 30 days from the date on which the Board of Directors passed the resolution, as per the details as previously notified to the Stock Exchange of Thailand and the shareholders. To date, the Board of Directors Meeting No. 7/2006 of CH. Karnchang Public Company Limited, on April 18, 2006, hereby informs that as the joint investor and/or business alliance, who has entered into negotiations with the Company in relation to the sale of the remaining 1,625,000 shares, is pending the consideration of the details for purchase of such shares, the Meeting thus resolved that the Company enter into negotiations and seek other new potential joint investor. Should the Company have successfully negotiated and sought any joint investor, as well as agreed on the details for purchase and sale of such shares and various conditions, the Company shall promptly give notice to the Stock Exchange of Thailand. Furthermore, should the person and/or legal entity, who is the new joint investor, be the person having any connection with the Company, the Company shall further comply with the rules of the Stock Exchange of Thailand.
