Re: Public Offering of Ordinary Shares in Bangkok Metro Public
Company Limited
Attn: President of the Stock Exchange of Thailand
Reference is made to the fact that CH. Karnchang Public Company
Limited invested in Bangkok Metro Public Company Limited ("BMCL") by
holding 2,158,312,416 ordinary shares, representing 28.23 percent of
the paid-up registered capital of Baht 7,646,689,300, and that BMCL
issued its shares for public offering, whereby the existing
shareholders may offer their shares for sale along with BMCL's public
offering of the newly issued shares, so as to ensure that BMCL shall
have qualifications in accordance with the rules of the Stock Exchange
by way of shareholding distribution of minor shareholders in an
aggregate of not less than 25 percent of the paid-up capital.
The Company hereby informs you that the Board of Directors
Meeting No. 3/2006 on June 8, 2006, resolved to grant approval for the
Company to sell 270,000,000 ordinary shares in BMCL to the general
public at the price which BMCL offers shares for sale to the general
public. In this regard, given that the volume of such transaction does
not fall under the minimum requirements in accordance with the
Notification of the Stock Exchange of Thailand, Re: Rules, Procedures
and Disclosure on Acquisition or Disposition of Assets of Listed
Companies, therefore, the execution of the said transaction is merely
subject to approval of the Company's Board of Directors. Subsequently,
BMCL scheduled for the public to subscribe for shares during September
8, 11-13, 2006. To date, such share subscription period has elapsed,
thereby rendering the Company's shareholding in BMCL to become
approximately 15.80 percent of the registered capital.
