Notification of Capital Decrease in SAEN

(Translation) No. CK-08-0000-PO-L-0060 June 3, 2008 Re: Notification of Capital Decrease in SouthEast Asia Energy Limited Attn: President of the Stock Exchange of Thailand CH. Karnchang Public Company Limited hereby informs that the Extraordinary General Meeting of Shareholders of SouthEast Asia Energy Limited (its associated company) resolved to grant approval for capital decrease by Baht 2,205.25 Million from Baht 8,809.00 Million to Baht 6,606.75 Million (660.675 million ordinary shares, at the par value of Baht 10 per share) by way of transferring 220.225 million shares in respect of the decreased capital in Electricite du Laos' shareholding ratio of 25 percent, at the par value of Baht 10 per share, to be the share capital in Nam Ngum 2 Power Company Limited (SouthEast Asia Energy Limited's subsidiary) according to the obligations under the Concession Agreement and the commitment under the long-term loan agreement requiring SouthEast Asia Energy Limited to transfer its rights over benefits and obligations pursuant to the main documents of the project to the subsidiary, provided that upon completion of the registered capital decrease and the transfer of rights, SouthEast Asia Energy Limited and Electricite du Laos would hold shares in the subsidiary at the ratio of 75 percent and 25 percent, respectively. In this regard, SouthEast Asia Energy Limited completed the registration of the decrease of the registered capital to Baht 6,606.75 Million with the Ministry of Commerce on January 2, 2008, thereby resulting in changes in the shareholding percentage in SouthEast Asia Energy Limited as follows: Shareholders Amount of Shares Shareholding Percentage Old Registered New Registered Capital of Capital of Baht 8,809.00 Million Baht 6,606.75 Million 1.
