(Translation) No. CK-09-0000-PO-L-0095 December 30, 2009 Re: Notification of Disposition of Ordinary Shares in Thai Tap Water Supply Public Company Limited Attn.: The President of the Stock Exchange of Thailand Reference is made to the fact that the Board of Director's Meeting No. 6/2009, of CH. Karnchang Public Company Limited, held on December 21, 2009, resolved to grant approval for the Company to sell certain portion of ordinary shares in Thai Tap Water Supply Public Company Limited, namely, 180,000,000 shares, to any persons or legal entities which have no relationship and/or connection with the Company, as per the details in the resolution of the Board of Director's Meeting in which you have been obviously informed. Presently, the Company hereby informs that the Company has sold out of the ordinary shares in Thai Tap Water Public Company Limited to Histeel Products Company Limited for amount of 150,000,000 shares or representing 35 percent of the registered capital, at the price of Baht 4.30 per share, totaling Baht 645,000,000. In this regard, the buyer and the seller have agreed to pay for share as well as transferring the right of ownership on December 29, 2009. Once such transaction has been completed, the Company will hold 1,278,777,400 shares in Thai Tap Water Supply Public Company Limited, or representing 31.55 percent of the registered capital (the Company formerly held 1,408,777,400 shares in Thai Tap Water Supply Public Company Limited, representing 35.31 percent of the registered capital). However, the 30,000,000 remaining shares have been during the process of negotiation with the other buyers and should the Company would have been acknowledged for the details, the Company will inform this information through the system of SET thenceforth.
