FINANCIAL STATEMENTS AND ACCOUNTANTS' REVIEW REPORT CH. KARNCHANG PUBLIC CO., LTD, SUBSIDIARIES AND JOINT VENTURES FIRST QUARTER ENDED MARCH 31, 1999 and 1998 Accountants' Review Report To the Shareholders of CH. Karnchang Public Co., Ltd. We have made a review of the consolidated balance sheets of CH. Karnchang Public Company Limited, subsidiaries and joint ventures as at March 31, 1999 and 1998, and the related consolidated statements of income, statements of changes in shareholders'equity, statements of retained earnings, and statements of cash flows for the three-month periods then ended and the financial statements of CH. Karnchang Public Co.,Ltd. for the same periods then ended in accordance with standards established by the Institute of Certified Accountants and Auditors of Thailand. A review of interim financial information principally consists of obtaining an understanding of the systems for the preparation of interim financial information, applying analytical review procedures to financial data, and making inquiries of persons responsible for financial and accounting matters. It is substantially less in scope than an examination in accordance with generally accepted auditing standards, the objective of which is the expression of an opinion regarding the financial statements takes as a whole. Accordingly, we do not express such an opinion. As discussed in Note 6 to the financial statements, the parent company has accounts receivable from the related joint venture, which are overdue over 1 year in the approximate amount of Baht 409.07 million. The company did not record the allowance for doubtful account for the said amount because the company expected to be paid in the future. If the company does not receive the payment, profit for period ended March 31, 1999 and asset should be decreased in the same amount. Based on our review, except for the effect of matter described in previous paragraph, we are not aware of any material modifications that should be made to the accompanying financial statements for them to be in conformity with generally accepted accounting principles. We draw attention to the following notes to financial statements as follows: As discussed in Note 13 to the financial statements, the consolidated financial statements and the company's financial statement included deferred expense of Baht 13.34 million which is expense incurred since 1994 to 1997 for biding the power concession generated from Num Ngum dam. The outcome of this bidding can not be expected at this moment. As discussed in Note 13 to the financial statements. Deferred expenses of one subsidiary company in the approximate amount of Baht 74.74 million included in the consolidated financial statements which is included in account receivable from subsidiary company in the company's financial statements. The deferred expenses are occurred from the bidding of MRTA project. Due to the bidding process is still on going, the ultimate result of the bidding cannot be determined. As discussed in Note 6 to the financial statements. The joint venture which the company has 59.99% of profit sharing has an account receivable from additional construction work in the approximate amount of Baht 101.8 million. The employer is in the process of inspection valuation of work, which the employer's independent engineer has recognized the additional construction work to the said joint venture. The said construction work is completed in 1998. The additional contract value is depend upon the result of negotiation which is not finalized at this moment. As discussed in Note 7 to the financial statements. The joint venture which the company has 35% of profit sharing has construction in progress which the additional contract value is under the negotiation in the amount of Baht 226.63 million. Therefore, as the result of the uncertainty negotiation, the joint venture has not recorded the allowance for devaluation in its accounts. As discussed in Note 18 to the financial statements. The joint venture which the company has 35% of profit sharing expected that its cost of construction will be increased from the previous estimation. Currently, the negotiation for employer's compensation has not been finalized. Therefore, the joint venture has not adjusted its estimated cost of construction and reduce its revenue. As discussed in Note 1 to the financial statements. The operations of CH. Karnchang Public Company Limited, subsidiaries and joint ventures have been affected and will continue to be affected for the foreseeable future by the economic condition in Thailand and the Asia Pacific Region in general. The ultimate effect that these uncertainties will have on the financial statements can not presently be determined. KARNCHANG PUBLIC CO., LTD, SUBSIDIARIES AND JOINT VENTURES NOTES TO FINANCIAL STATEMENTS MARCH 31, 1999 and 1998 NOTE 1 - ECONOMIC ENVIRONMENT AND BASIC OF PRESENTATION Since the second half of 1997 until the present certain Asia Pacific countries, including Thailand, are experiencing economic difficulties relating to currency devaluation and slowdown in growth. Accordingly, the Thai government sought assistance from the International Monetary Fund to alleviate the economic crisis and improve the economic over time. The financial statements reflect the assessment of the possible impact of this economic situation on the financial position of CH. Karnchang Public Co., Ltd., subsidiaries and joint ventures. The ultimate effect on the entity's financial position of these uncertainties can not presently be determined. NOTE 2 - TRANSACTIONS WITH RELATED COMPANIES The company has had significant transactions with its related companies. The financial statements reflect the effects of these transactions on the normal business basis agreed upon by the companies concerned. The transactions with its related companies have included transactions with company's joint ventures where by there will be no settlement until the end of the project.
