We would like to provide additional information as follows:- 1. Bangkok Concrete Industry Co., Ltd. 1.1 Par value is 100.00 Baht / share Book value is 103.04 Baht / share Price is 110.91 Baht / share 1.2 Objective of entering into the transaction and expected returns The objective of common share acquisition in Bangkok Concrete Industry Co. is long term investment in a sub-contractor doing business related to construction as our core business in order to integrate our business. Moreover, we expect to have return on investment in terms of dividend. 1.3 Source of fund will be our working capital 1.4 Connected persons who has no right to vote in the Shareholders Meeting are - Trivisvavet group who holds 99.99% in Mahasiri Siam Co., Ltd. - Trivisvavet group who holds 56.57% in CH. Karnchang Plc. 2. Pathum Thani Water Co., Ltd. 2.1. Par value is 100.00 Baht / share Book value is 89.62 Baht / share Price is 123.31 Baht / share 2.2. Objective of entering into the transaction and expected returns The objective of common share acquisition in Pathum Thani Water Co. is long term investment as a 25-year concessionaire. And the company expect to have return on investment in terms of dividend. 2.3. Source of fund will be our working capital. 2.4. Connected persons who has no right to vote in the Shareholders Meeting are - Trivisvavet group who holds 99.99% in CH. Karnchang Holding Co., Ltd. - Trivisvavet group who holds 56.57% in CH. Karnchang Plc. 3. Calculation of size of the connected transaction Size of the transaction = 3% of The company's Net Tangible Asset or regarded to be very substantive Baht 10 million (which is higher) = 3% * 4,392,460,824 = 131,773,824.72 Baht (Remark: Net Tangible Asset as of 31st Dec., 1999) Since size of the acquisition of common shares in Pathum Thani Water Co. and Bangkok Concrete Industry Co. is more than 3% of the company's net tangible asset and more than Baht 10 million. Therefore, this transaction is regarded to be very substantive connected transaction and the company has to disclose the information.
