Karnchang Public Company Limited's Extraordinary General Meeting of Shareholders No. 1/2003 held on November 6, 2003 passed resolutions granting approval for the Company to increase its registered capital from Baht 1,050,000,000 to Baht 1,312,500,000 by way of issuance of new 262,500,000 ordinary shares to accommodate the conversion of warrants, and to amend Article 53 of the Articles of Association, Company Seal, as detailed therein. The Company hereby notifies you that the Company has presented such resolutions to register the registered capital increase to accommodate the conversion of warrants, and amendment of the Articles of Association with the Department of Business Development since November 12, 2003 as per the enclosures attached hereto.
