(TRANSLATION) Ref: CK-04-0000-PO-L-0380 15 December 2004 Subject Purchasing Ordinary Shares of Bangkok Metro Public Company Limited Attention President The Stock Exchange of Thailand The Executive Board of Directors Meeting No. 14/2004 which was held on 14 December 2004, passed up a resolution to render an approval for the Company as to purchase the ordinary shares of Bangkok Metro Public Company Limited (which the company holds shares at 23.09 % of the paid-up capital of the said company) in the amount of 23,091,621 shares, priced at 3 Baht per shares, totaling 69,274,863 Baht, to maintain the proportion of shareholding of the Company. (The shareholders meeting of Bangkok Metro Public Company Limited, held on 21 July 2004, resolved for the increase of the registered capital from the existing amount of 7,050 Million Bath to 7,350 Million Bath namely, to increase the registered capital by another 300 Million Bath by issuing 300,000,000 new ordinary shares, par value of one Bath per share and authorized to the committee approve for a period of time and any conditions of allocation and the offering for the share. Thus, there have already been an allotment on increasing shares for the amount of first part for 200 million shares. However, the Board of Director Bangkok Metro Public Company Limited, held on 7 December 2004, resolved for the increasing in the amount of 100,000,000 ordinary shares, and offer to the existing shareholders under the proportion.)
