=Translation= No. CK-05-0000-PO-L-0147 May 9, 2005 Subject: Clarification on Development of Exercise of Option to Purchase Ordinary Shares in Thai Tap Water Supply Co., Ltd. from General Akradej Sasiprapa Attn: President of the Stock Exchange of Thailand Reference is made to the fact that CH. Karnchang Public Company Limited notified the resolutions of the Extraordinary General Meeting of Shareholders No. 1/2004, held on December 21, 2004. The Company hereby reports the development of Item 2, regarding such resolution on approval for the Company to exercise its option to purchase 10,499,997 ordinary shares in Thai Tap Water Supply Co., Ltd. from General Akradej Sasiprapa, representing 35 percent of the registered capital, at the price of Baht 211.70 per share. Please be informed that the Company has already made payment in full for exercise of the option to purchase said shares, and General Akradej Sasiprapa has already endorsed the relevant share certificates for transfer of such shares to the Company. At present, the Company holds shares representing 50 percent of the registered capital in such company. The Company is now awaiting approval from the financial institutions providing support to Thai Tap Water Supply Co., Ltd., under the conditions of the Common Terms Agreement. Upon the financial institutions issuance of their letters of consent, the Company shall further register change of the list of shareholders with the Ministry of Commerce.
