Karnchang Public Company Limited had the Extraordinary General Meeting of Shareholder No.2/2005 on October 5, 2005 at 9.00 a.m. During the above-mentioned meeting, some shareholders had questioned on the operational outcome of the Company in 2005. Therefore, the Company hereby inform on its operational profit outcome of 2005 including the profit from Thai Tap Water Company Limited's selling of shares as followed. 1) The Company foresees that the Company will have the operational profit not less than 500 million bath as being basic profit of the various progressive projects under construction of the Company. 2) The Company foresees that the Company will have the operational profit of selling shares of Thai Tap Water Company Limited for the number of 15 million shares. The aforesaid shares are the portion purchasing from Thames Water International Service Company Limited, Thames Water International (Thailand) Company Limited and Thames Water Public Company Limited approximately amounted 750 million baht of which calculating from purchased shares of such companies at the price not exceeding 240 baht per share. And the Company had been approved by the shareholder's resolution to sell shares of such companies to Bangkok Expressway Public Company Limited for a number of 1,450,000 shares, Bangkok Bank Public Company Limited for a number of 750,000 shares and Thai Military Bank Public Company Limited for a number of 750,000 shares at the price of 290 baht of which its profit amounted not less than 50 baht per share. Moreover, the Company has presently seeking for the joint-investors for the rest of shares for a number of 12,050,000 shares that the Company will finish on proceeding of such remaining shares prior taking the aforesaid companies to rapidly register in the Stock Exchange of Thailand. If the Company would have the certain investors, the Company would therefore proceed on informing the shareholders and the Stock Exchange of Thailand in compliance with the disclosure's rules thenceforth. Thus, the mentioned foresight above has still been on the uncertain basic since it might be affected from the economical situations and the search of the joint-investors in the above-mentioned companies accordingly.
