(Subsidiary) Attn: President of the Stock Exchange of Thailand CH. Karnchang Public Company Limited hereby informs that the Company has exercised its option to purchase 2,254,250 ordinary shares for capital increase according to its shareholding proportion in Thai Tap Water Supply Co., Ltd. (Subsidiary) at the price of Baht 290 per share, in the total amount of Baht 653,732,500, and exercised the option to purchase 57,800 shares according to its shareholding proportion from the existing shareholders who did not exercise their options, at the price of Baht 290 per share, in the total amount of Baht 16,762,000, whereby it is in the process of change of the registered capital and the list of shareholders with the Ministry of Commerce. Furthermore, Thai Tap Water Supply Co., Ltd. (Subsidiary) resolved to increase its registered capital from Baht 3,000 Million to Baht 3,250 Million, by issuing 2,500,000 ordinary shares for capital increase, at the par value of Baht 100 per share, and allocate 2,500,000 shares for capital increase, at the price of Baht 290 per share, to the existing shareholders of the company according to their shareholding proportions. Therefore, in order to maintain the shareholding proportion of 90.16 percent of the registered capital in Thai Tap Water Supply Co., Ltd., the number of shares additionally purchased by the Company amounted to 2,254,250 shares, at the price of Baht 290 per share, totaling Baht 653,732,500. Given that certain existing shareholders did not exercise their options to purchase the shares for capital increase, the Company then exercised its option to purchase another 57,800 shares, at the price of Baht 290 per share, amounting to Baht 16,762,000, rendering the Company to hold shares in Thai Tap Water Supply Co., Ltd. representing 90.34 percent of the company's registered capital.
