(Translation) No. CK-06-0000-PO-L-0283 June 16, 2006 Re: Sale of Ordinary Shares in SouthEast Asia Energy Limited Attn: President of the Stock Exchange of Thailand Reference is made to the fact that the Extraordinary General Meeting of Shareholders No. 1/2004 of CH. Karnchang Public Company Limited, held on December 21, 2004, resolved to grant approval for the Company to sell and/or waive its option to purchase shares for capital increase, and/or transfer its option to purchase ordinary shares in SouthEast Asia Energy Limited ("SEAN"), which might occur in the future, to other persons and/or legal entities to participate as joint investor at the rate of 65-75 percent of the company's registered capital, in order that the Company would then hold shares merely 25-35 percent of the registered capital. In addition, on October 20, 2005, the Company informed the Stock Exchange of Thailand that the Company sold 1,250,000 ordinary shares in SEAN to Bangkok Expressway Public Company Limited, and on November 7, 2005, the Company sold 10,000,000 ordinary shares in SEAN to Ratchaburi Electricity Generating Holding Public Company Limited, and also purchased 400,000 ordinary shares in SEAN from Shlapak Development Company and 400,000 ordinary shares from P.T. Construction & Irrigation Company Limited. To date, the Company hereby informs that the Company has purchased one ordinary share in SEAN from Major General Apinan Punyapapat, at the price based on the par value of Baht 10 per share. In addition, the Company has already sold 10,000,000 ordinary shares in SEAN to Electricit? du Laos of Lao People's Democratic Republic, at the price based on the par value of Baht 10 per share, amounting to Baht 100,000,000, as well as sold 400,000 ordinary shares in SEAN to TEAM Consulting Engineering and Management Co., Ltd., at the price based on the par value of Baht 10 per share, amounting to Baht 4,000,000. As a result, the Company currently holds 11,399,996 shares in SEAN, representing 28.50 percent of the registered capital (the Company formerly held 21,799,995 shares in SEAN, representing 54.50 percent of the registered capital), thereby changing the status of SEAN from being a subsidiary to an affiliated company of the Company.
