(Translation) No. CK-06-0000-PO-L-0290 June 22, 2006 Re: Sale of Ordinary Shares in Thai Tap Water Supply Co., Ltd. Attn: President of the Stock Exchange of Thailand Reference is made to the fact that on April 18, 2006, CH. Karnchang Public Company Limited notified the Stock Exchange of Thailand that the Meeting of the Executive Board of the Company resolved to grant approval for the Company to enter into negotiations to seek other new potential joint investor along with joint investor and/or business alliance, who had entered into negotiations with the Company in relation to the sale of the remaining 1,625,000 shares in Thai Tap Water Supply Co., Ltd., as per the details as previously notified to the Stock Exchange of Thailand. To date, the Meeting of the Executive Board of CH. Karnchang Public Company Limited No. 11/2006 on June 21, 2006 resolved to grant approval for the Company to sell 812,500 ordinary shares in Thai Tap Water Supply Co., Ltd., representing 2.5 percent of the registered capital, to Bangkok Expressway Public Company Limited, at the price of Baht 320 per share, totaling Baht 260,000,000. Upon completion of the execution, the Company would hold a total of 15,498,394 shares in Thai Tap Water Supply Co., Ltd., representing 47.69 percent of the registered capital of Baht 3,250 Million. As for the remaining 812,500 shares, should the Company have successfully negotiated and sought any joint investor, as well as agreed on the details for purchase and sale of such shares and various conditions thereof, the Company shall promptly inform the Stock Exchange of Thailand. Furthermore, should the person and/or legal entity, who is the new joint investor, be the person having any connection with the Company, the Company shall further comply with the rules of the Stock Exchange of Thailand. In addition, given that Bangkok Expressway Public Company Limited is a connected person with the Company because Mr. Plew Trivisvavet holds the position of Chief Executive Officer of CH. Karnchang Public Company Limited and concurrently is the Chairman of the Executive Board of Bangkok Expressway Public Company Limited, the execution of this transaction thus constitutes a connected transaction. In this regard, the Company has authorized Mr. Plew Trivisvavet to oversee the business as the Company is the major shareholder of Bangkok Expressway Public Company Limited, rendering the said transaction to become an exempted transaction pursuant to the Stock Exchange of Thailand Notification, Re: Disclosure of Information and Act of Listed Companies Concerning Connected Transactions.
