(Translation) No. CK-06-0000-AFD-L-0881 November 23, 2006 Re: Notification of Details of Issuance and Offering of Ordinary Shares for Capital Increase through Private Placement Attn: President of the Stock Exchange of Thailand CH. Karnchang Public Company Limited ("CK") hereby notifies that CK has offered and sold 134,000,000 ordinary shares for capital increase through a private placement with institutional investors, at the price of Baht 10.76 per share, whereby the share price were determined by way of bookbuilding method or comparison of demand for purchase of CK shares from interested investors. In this respect, CK has appointed SCB Securities Company Limited as the underwriter for such shares. The Audit Committee of CK also participated in the consideration and approval of the bookbuilding process, as well as the determination of the final offer price, including the allocation of shares for investors. This offering of ordinary shares for capital increase (134,000,000 shares) is an offering under the resolution passed by the 2005 Annual Ordinary General Meeting of Shareholders held on April 7, 2005, which approved the allocation of a total of new 134,000,000 shares for capital increase, in whole or in part, for private placement or for institutional investors in accordance with the Notification of the Securities and Exchange Commission No. GorJor.12/2543, Re: Application for and Grant of Permission for Offering of Newly Issued Ordinary Shares, dated March 22, 2000, (including its amendment), whereby the offering might be split into one or several occasions. After this offering of ordinary shares for capital increase, CK's paid-up capital would increase by Baht 134,000,000 from the existing amount of Baht 1,113,191,570 to Baht 1,247,191,570. CK will use the capital derived from such offering to expand its business and serve as working capital of the Company. The institutional investors will pay the ordinary shares for capital increase on November 28, 2006 and CK will inform the name of institutional investors on November 29, 2006.
