(Subsidiary) Attn: President of the Stock Exchange of Thailand Reference is made to the fact that CH. Karnchang Public Company Limited holds 999,994 shares or representing 49.99 percent of the registered capital in Bangkok Concrete Industries Co., Ltd. (Subsidiary) (Bangkok Concrete Industries Co., Ltd. has the total registered capital of Baht 200,000,000, divided into 2,000,000 shares, at the par value of Baht 100 per share). At present, the Company would like to inform that the Company has sold the whole of 999,994 ordinary shares in Bangkok Concrete Industries Co., Ltd. to Widen Holding Co., Ltd. on December 25, 2007, at the price of Baht 5 per share, amounting to Baht 4,999,970 since Bangkok Concrete Industries Co., Ltd. has resulted from loss in operation which its book value equaled to Baht -35.25 per share (following to the financial statement as of September 30, 2007).Consequently, the execution of such transaction for sale of shares is not a connected transaction under the Stock Exchange of Thailand Notification.
