(Translation) No. CK-13-0000-AFD-L-0488 October 18, 2013 Re: Notification of Granting Mass Rapid Transit Authority of Thailand the Right to Purchase Ordinary Shares of Bangkok Metro Public Company Limited Attn: President of the Stock Exchange of Thailand Reference is made to the fact that CH. Karnchang Public Company Limited ("the Company") has notified the Stock Exchange of Thailand of the resolutions of the Board of Directors' Meeting No. 5/2556 which was held on October 9, 2013 regarding subscription for capital increase ordinary shares of Bangkok Metro Public Company Limited ("BMCL"), and has also resolved to approve to authorize the Executive Committee of the Company or any person to be assigned by the Executive Committee to make any arrangements necessary and incidental to granting MRTA the right to purchase ordinary shares of BMCL. The Company hereby informs the Stock Exchange of Thailand that the Company has granted to the Mass Rapid Transit Authority of Thailand ("MRTA") the right to purchase ordinary shares of BMCL from the Company at exercise price of Baht 1 per share (Baht One) within one year from the date on which BMCL files for the registration of change of its paid-up capital, resulting from completion of subscription for capital increase ordinary shares as allocated by BMCL via private placement to the Company, with the Ministry of Commerce, in order for MRTA to resume its stake at 25 percent after BMCL has increased its registered capital in accordance with the resolutions of the Extraordinary General Meeting No. 1/2556 which will be held on November 11, 2013. After MRTA has exercised such its right, the sales of ordinary shares of BMCL by the Company to MRTA will be considered as transaction relating to the disposition of assets, of which the details would be notified to the Stock Exchange of Thailand in due course.
